About Us

After over a decade of combined in-house and law firm experience, both at the helm leading and in the trenches supporting transactions in the life sciences industries, I founded Liu Legal Consulting with the following principles guiding our practice:

  • Business-Oriented Advice: context matters. The true value-add legal advisor is not just a guardian against risk, but a calibrator of risk in light of the business case for a given transaction, as well as the realities of the client’s leverage and alternatives in the deal setting. We are not in the business of saying no. Rather, we are in the business of getting to yes, with key business objectives achieved and enterprise level risks mitigated appropriately under the circumstances.

  • Strategic Mindset; Execution Oriented: The ability to quickly map out the key value propositions and major chokepoints of risk in structuring a transaction is critically important. Equally essential is the skill to lay out the bricks neatly; to engineer the contract with precision. Whether its anticipating crucial contingencies and evaluating trade-offs in negotiating a commercial supply agreement, or carefully crafting bespoke licenses and research collaborations tailor made to fit the underlying technologies involved, we pride ourselves on being both The Architect and The Mason.

  • Versatility in Adding Value: We will adapt our engagement model to fit the needs of your company with a focus on value add. Whether working full-service, or collaborating with your existing legal resources, we are here to help capture value and reduce cost. We also appreciate that hourly billing may not work well for every company at every stage of its lifecycle, so we offer flexible engagement models. Finally, we believe in value-based pricing - 1 hour spent on a preclinical animal study vendor agreement is not the same as 1 hour spent on a foundational exclusive patent license or a commercial manufacturing agreement with a major supplier.
